Calm Station by Kerry Ellis - Business Subscription Terms and Conditions

These Terms and Conditions govern the subscription to Calm Station by Kerry Ellis ("Calm Station"). By subscribing to the Calm Station service, you agree to these Terms and Conditions.
For the purposes of these Terms and Conditions, any reference to "Calm Station" means the subscription service known as Calm Station by Kerry Ellis.
1. About Calm Station
Calm Station is a subscription service that provides businesses with professionally produced guided calming audio recordings and supporting materials designed to enhance the customer and/or employee experience.
Your subscription includes access to the current guided calming audio via a dedicated QR code, together with supporting materials as determined by Kerry Ellis from time to time.
2. Subscription Fees
The standard subscription fee is the current advertised monthly rate unless an alternative promotional or Founding Member rate has been agreed in writing.
Subscription fees are payable one (1) month in advance by direct debit.
Your subscription will automatically continue each month until cancelled in accordance with these Terms and Conditions.
3. Founding Member Pricing
Businesses accepted as Founding Members will retain their agreed Founding Member subscription rate for as long as their subscription remains active.
If a Founding Member cancels their subscription and later rejoins, the subscription will be charged at the current advertised pricing unless otherwise agreed in writing by Kerry Ellis.
If additional subscription levels or premium services are introduced in the future, Founding Members may choose to remain on their existing plan or upgrade to a new plan at the applicable pricing.
4. Late Payments
Subscription fees are payable in advance.
If payment remains outstanding for more than seven (7) days after the due date, Calm Station reserves the right to suspend access to the service until all outstanding amounts have been paid.
Where payment remains outstanding for an extended period, Kerry Ellis reserves the right to cancel the subscription.
5. Physical Materials
Each new subscription includes one laminated Calm Station QR code sign.
An acrylic display stand is available as an optional one-off purchase.
Additional laminated signs, acrylic stands or replacement printed materials may be purchased at the current advertised pricing.
6. Licensing and Use
A standard Calm Station subscription is licensed for use at one physical business location.
Businesses may display Calm Station materials in multiple areas within that same location, including multiple waiting rooms, reception areas or staff spaces.
Businesses operating from multiple locations may contact Kerry Ellis to discuss a Multi-Site Licence or Enterprise Agreement where appropriate.
The Calm Station QR code, audio recordings and associated materials are licensed solely for use by the subscribing business and must not be used at any additional location unless covered by an active subscription or separate written agreement.
7. Intellectual Property
All Calm Station audio recordings, written materials, branding, logos, artwork, QR code content and associated intellectual property remain the property of Kerry Ellis unless otherwise agreed in writing.
Subscribers must not:
Download audio recordings.
Copy or reproduce audio recordings.
Modify any Calm Station content.
Distribute or share the QR code outside the licensed business location.
Upload audio recordings or content to websites, social media or third-party platforms.
Sell, sublicense or otherwise redistribute Calm Station materials.
8. Monthly Content Updates
Calm Station will generally provide one new guided calming audio each month.
The December guided calming audio will remain available throughout the Christmas and New Year period and will continue as the current audio until the February update is released.
No new audio will be issued during January.
Kerry Ellis reserves the right to update, improve, replace or amend Calm Station content at any time to maintain the quality and effectiveness of the service.
9. Service Availability
Reasonable efforts will be made to ensure the Calm Station service remains available at all times.
Occasionally, interruptions may occur due to website maintenance, technical issues or circumstances beyond reasonable control.
Where practical, service interruptions will be resolved as quickly as reasonably possible.
10. Cancellation
There is no lock-in contract and no minimum subscription period.
Subscribers may cancel their subscription at any time by providing written notice via email to: kerryellis@optusnet.com.au
Cancellation will take effect at the end of the current prepaid subscription period.
No refunds will be provided for unused portions of a prepaid subscription period.
11. Pricing Changes
Subscription pricing may be reviewed from time to time.
Subscribers will receive reasonable notice before any pricing changes take effect.
Founding Members will continue to receive their agreed Founding Member subscription pricing unless they voluntarily upgrade to another subscription level or discontinue their subscription.
12. Disclaimer
Calm Station provides general wellbeing and relaxation content intended to support a positive customer and/or employee experience.
Calm Station is not a medical, psychological or mental health treatment service and should not be relied upon as a substitute for professional healthcare, emergency services or clinical advice.
Subscribers acknowledge that Calm Station is designed to provide general relaxation and wellbeing support only.
13. Limitation of Liability
To the maximum extent permitted by law, Kerry Ellis shall not be liable for any direct, indirect, incidental or consequential loss or damage arising from the use of, or inability to access, the Calm Station service.
Businesses remain responsible for determining the suitability of Calm Station for their workplace or customer environment.
14. Privacy
Any personal information collected in connection with the management of Calm Station subscriptions will be handled in accordance with applicable Australian privacy legislation.
Calm Station is not intended to collect personal health information from end users accessing the guided audio recordings.
15. Changes to These Terms
Kerry Ellis may amend these Terms and Conditions from time to time.
The most current version will be made available to subscribers.
Continued use of the Calm Station service following any updates constitutes acceptance of the revised Terms and Conditions.
16. Governing Law
These Terms and Conditions are governed by the laws of New South Wales, Australia.
Any disputes arising in connection with the Calm Station service shall be subject to the jurisdiction of the courts of New South Wales.
